1. Agreement and operator
These Terms of Service (“Terms”) govern your use of the Spoony app, getspoony.com, and the services we provide through them (the “Service”). The Service is operated by OneClick Commerce LLC (“Spoony,” “we,” “us,” or “our”).
By agreeing to these Terms or using the Service after they are presented to you, you agree to them. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal information; acceptance of these Terms does not replace any separate privacy consent required by law.
You must be legally able to enter into these Terms. If you are below the age of majority where you live, a parent or legal guardian must agree to these Terms and supervise your use. The Service is not intended for children under 13.
2. What Spoony provides
Spoony provides tools for meal planning, recipe organization, grocery lists, cooking, household sharing, and grocery-budget estimates. Features may vary by app version, location, device, connectivity, and availability of third-party data.
Spoony is a planning tool. Unless we expressly offer a separate transaction, we do not sell groceries, fulfill orders, operate a retailer, or guarantee any store’s prices or inventory. Purchases you make from a retailer are between you and that retailer.
3. Food, allergy, and nutrition limitations
Do not rely on Spoony as your sole source for allergy or food-safety decisions. Recipe information, imported text, substitutions, ingredient classifications, dietary filters, and automated results can be incomplete or incorrect. Check every ingredient and product label, preparation method, and risk of cross-contact before shopping, cooking, or eating.
Diet labels, including “diabetic friendly,” low-sodium, halal, or kosher options, are planning preferences, not medical advice, treatment recommendations, or certification. Spoony does not diagnose, treat, or prevent any condition and does not replace advice from a qualified healthcare professional or dietitian. Follow any instructions provided by your healthcare professional, especially for severe allergies or medically necessary diets.
Use safe cooking, storage, reheating, and handling practices, supervise children appropriately, and follow manufacturers’ instructions for appliances.
4. Prices, budgets, deals, and savings
Prices, weekly totals, portion costs, nutrition information, cooking times, and savings figures are estimates unless clearly identified otherwise. They may be based on catalog data, assumptions, external sources, or shopper contributions and may be outdated or inaccurate.
Actual costs depend on your store, location, package sizes, substitutions, taxes, delivery or service fees, membership requirements, coupons, and availability. Offers can expire or require conditions that Spoony does not fully capture. Verify the final price and offer terms with the retailer before purchasing.
A budget setting is a planning target, not a promise that a plan will meet it or that you will achieve a particular saving. Savings shown for combining a week’s meals may compare that plan with buying the same dinners separately; they do not necessarily represent money saved versus your own past spending.
5. Accounts and shared households
Provide accurate account information, keep your sign-in methods secure, and notify us if you suspect unauthorized access. You are responsible for your use of the Service, including content and invitations you submit.
If you invite someone to, or join, a shared household, its members can access and change shared plans, preferences, recipes, photos, and grocery information. Confirm that you have permission to share information about other people, especially allergies or other sensitive preferences. Share invitation codes only with people you want to have that access.
Signing out, leaving a household, or deleting your account may clear information from your device and end your access. Shared content can remain with other household members. Export or retain information you want to keep before taking those actions. Account deletion and data handling are further described in the Privacy Policy.
6. Your recipes, photos, and other content
You retain any ownership rights you have in recipes, text, photos, and other material you submit (“Your Content”). You grant us a nonexclusive, worldwide, royalty-free license to host, store, copy, process, format, and display Your Content only as reasonably needed to operate, maintain, secure, and provide the Service, including sharing it with household members or recipients you choose.
If you voluntarily contribute product and price observations, this license also allows us to process and combine those observations and display resulting prices and deals to other users. We do not obtain ownership of your private recipes or a general right to use your photos in advertising. The license ends when content is deleted from our systems, except for continued shared-household content, copies retained as described in the Privacy Policy, and uses you separately authorize. Privacy rights under applicable law take priority over this license.
Only submit content you have the right to use and share. Recipe importing does not grant rights to republish someone else’s writing, photographs, or other protected material. Respect source websites’ terms, access restrictions, and intellectual property. Do not bypass paywalls, authentication requirements, or other access controls.
7. Automated processing and optional scans
Some features extract information from websites, photos, receipts, tags, or store ads. When available, optional AI-assisted processing may help read ads or match product descriptions. These outputs can contain errors, including incorrect ingredients, quantities, prices, and dates. Review and correct results before relying on them.
Submit only materials relevant to the feature. Remove payment details, loyalty identifiers, or unrelated personal information before scanning. Do not use scans or imports to upload unlawful material or information you are not authorized to disclose. The Privacy Policy explains what is sent to our backend and third-party processing services.
8. Acceptable use and our intellectual property
You may use the Service for lawful personal and household purposes in accordance with these Terms. You must not:
- Interfere with the Service, distribute malware, or attempt unauthorized access to accounts, systems, or data.
- Misuse invitations, impersonate others, or submit intentionally false price reports or fraudulent content.
- Infringe intellectual property, privacy, or other rights, or upload unlawful or abusive material.
- Evade usage limits or security measures, or use automated extraction in a way that disrupts the Service or violates applicable law.
- Copy, resell, or exploit our software or branding except as permitted by these Terms, the applicable app license, or law.
We and our licensors retain rights in the Service’s software, design, branding, and original content, excluding Your Content and third-party material. Any open-source components remain subject to their applicable licenses.
9. Purchases and subscriptions, if offered
This section applies only if you choose a paid feature or subscription. These Terms do not enroll you in a paid plan. Before purchase, the offer will identify the subscription, included access, duration, total billing amount, renewal price, and any trial or introductory period.
Apple billing and renewal. For an App Store purchase, payment is charged to your Apple Account when you confirm the purchase, except where a disclosed trial or other offer delays the initial charge. Auto-renewing subscriptions continue until canceled. Apple may charge the renewal within the 24 hours before the next subscription period begins, under its applicable purchase terms. Cancel before renewal to avoid the next charge.
Trials. If a trial is offered, it converts to the paid subscription disclosed at sign-up unless canceled. To avoid being charged after an Apple-billed trial, cancel at least 24 hours before it ends. Eligibility, duration, and any effect of cancellation on trial access are shown in the offer and Apple’s applicable terms.
Manage or cancel. On iPhone, open Settings → your name → Subscriptions → Spoony, or use Apple’s subscription-management page. Deleting the app or your Spoony account does not cancel an Apple subscription. You can request account deletion even if a subscription is still active.
Refunds and changes. Use Apple’s refund-request process for Apple-billed purchases. Refund eligibility is determined under Apple’s terms and applicable law; we do not impose a blanket no-refund rule. Price changes are subject to applicable notice and consent requirements. These Terms do not limit statutory cancellation, withdrawal, refund, or other consumer rights.
10. Apple and other third-party services
If you obtain Spoony from Apple’s App Store, the applicable Apple terms also govern that download and purchase. Apple’s Standard Licensed Application End User License Agreement (EULA) governs the license to the Spoony iOS software. These Terms supplement that EULA for our Service; they are not a replacement custom EULA. If these Terms conflict with the Standard EULA on the software license, the Standard EULA controls. Apple’s applicable purchase terms and usage rules also continue to apply.
Your agreement for the Spoony Service is with OneClick Commerce LLC, not Apple. OneClick Commerce LLC is responsible for the Service and its support. Apple has no obligation to maintain or support the Spoony app. Contact hello@getspoony.com with app questions or complaints. Nothing in these Terms removes any obligation or remedy under the Standard EULA or applicable law. Third-party websites, retailers, recipe sources, and linked apps have their own terms and privacy practices. We are not responsible for their products, content, transactions, or availability.
11. Availability, changes, and termination
We may update or change features, perform maintenance, or suspend access when reasonably necessary for security, legal compliance, or a material violation of these Terms. We may discontinue a feature or the Service. Where required by law, we will give notice, preserve applicable paid-access rights, or provide an appropriate remedy.
We cannot guarantee continuous availability, error-free operation, or that every sync or import will succeed. Keep a separate copy of content that is important to you.
You may stop using the Service at any time and request account deletion as described in the Privacy Policy. Provisions that by their nature should continue, including ownership, payment obligations already incurred, and applicable liability and dispute provisions, survive termination.
12. Disclaimers and limits of liability
To the extent permitted by applicable law, the Service is provided “as is” and “as available,” without warranties that it will meet every requirement, be uninterrupted, or produce error-free results. To that extent, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement.
To the extent permitted by applicable law, OneClick Commerce LLC is not liable for indirect, incidental, special, or consequential losses, or loss of profits, arising from use of or inability to use the Service.
These exclusions do not apply where prohibited by law. Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence where that liability cannot be limited, or any other liability or consumer guarantee that cannot lawfully be excluded. Your mandatory statutory rights remain unaffected.
13. Disputes and governing law
Contact us at hello@getspoony.com if you have a concern so we can try to resolve it. This does not prevent you from seeking a remedy you are entitled to pursue.
These Terms are governed by the laws of the State of California, United States, without applying conflict-of-laws rules, except that mandatory consumer protections available in your place of residence continue to apply. Courts with jurisdiction under applicable law may hear disputes. These Terms do not impose mandatory arbitration or waive your right to participate in a class action.
14. Changes to these Terms and contact
We may revise these Terms. We will post the revised version with its effective date and give notice of material changes or seek renewed agreement when required by law. Changes will not retroactively remove rights you already have. If you do not agree to revised Terms, stop using the Service; any paid-service rights and remedies remain subject to the purchase terms and applicable law.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver. These Terms and any applicable feature-specific terms form the agreement for the Service; they do not override mandatory law or the applicable app license.
